# Internal-Use Data Licence Agreement (Cloud Access Version) **Effective Date:** October 22, 2025 **Licensor:** Lynker Spatial Contributors --- ## 1. Agreement Overview This Data Licence Agreement (“Agreement”) governs access to and use of datasets (“Data”) made available through the **Lynker Spatial Contributors authenticated cloud portal** (“Portal”). By creating an account, logging in, or using the Portal, each user and their affiliated organization (collectively “Licensee”) agree to these terms. --- ## 2. Grant of Licence Lynker Spatial Contributors grants each authorized Licensee a **non-exclusive, non-transferable, non-sublicensable, limited licence** to access, download, export, copy, and use the Data for **internal analytical, research, and commercial purposes**, including integration within **internal profit-generating tools, models, or workflows**. This licence includes the right to: - store and manage local copies of the Data; - integrate the Data into internal analytics, dashboards, or decision-support systems; and - develop internal models and derived insights. --- ## 3. Restrictions on Redistribution and Resale Licensee shall **not**, without prior written consent from Lynker Spatial Contributors: - sell, sublicense, rent, lease, or otherwise redistribute the Data, in whole or in substantial part, to any third party; - make the Data publicly available or include it in any open or shared dataset; - provide the Data (directly or indirectly) to any government entity, contractor, or intermediary — including RTX or organizations acting on behalf of NOAA OWP — for compliance, reporting, or procurement deliverables; or - embed or expose the Data in any external product, API, or service that enables others to access or reconstruct the Data. --- ## 4. Derived Products and Analyses Licensees may generate analytical results, models, or derivative works (“Derived Products”) using the Data. Derived Products may be used and shared internally or externally **provided that**: - they do **not** expose or reproduce any portion of the original Data, and - they **cannot be reverse-engineered** to reconstruct it. All public uses or publications must attribute: > “This analysis incorporates proprietary data licensed from Lynker Spatial Contributors. Redistribution prohibited.” --- ## 5. Portal Access and Security Access occurs through the authenticated Portal. Each user must maintain credential confidentiality. Lynker Spatial Contributors may monitor, audit, or suspend accounts to enforce compliance. --- ## 6. Confidentiality The Data and all associated metadata are proprietary and confidential to Lynker Spatial Contributors. Licensees shall protect them with commercially reasonable safeguards. --- ## 7. Ownership All rights, title, and interest in and to the Data, Portal, and related intellectual property remain the exclusive property of Lynker Spatial Contributors. This Agreement conveys no ownership rights. --- ## 8. Audit and Compliance Lynker Spatial Contributors reserves the right to audit Portal activity and related logs to verify compliance. --- ## 9. Term and Termination This Agreement remains in effect while Portal access is active. Lynker Spatial Contributors may suspend or revoke access upon breach. Upon termination, Licensees must cease external distribution and retain any local copies solely for permitted internal use. --- ## 10. Warranties and Disclaimers The Data and Portal are provided **“as is”**, without warranty of any kind, express or implied. --- ## 11. Limitation of Liability Lynker Spatial Contributors shall not be liable for indirect, incidental, consequential, or special damages arising from use or inability to use the Data. --- ## 12. Governing Law This Agreement is governed by and construed under the laws of the **State of Colorado, U.S.A.** --- ## 13. Acceptance and Enforcement By accessing or using the Portal, the Licensee acknowledges that this Agreement forms a binding contract with Lynker Spatial Contributors. Portal authentication logs serve as proof of acceptance and continuing consent.
